GuardSphere Terms of Service

These Terms of Service govern access to and use of GuardSphere Technologies Inc.'s websites, dashboards, device agents, browser extensions, Google Workspace integrations, managed device governance tools, reporting features, and related services.

1. Acceptance of These Terms

By accessing or using GuardSphere, creating an account, connecting an integration, enrolling a device, installing a GuardSphere agent or extension, or using any GuardSphere service, you agree to these Terms of Service. If you use GuardSphere on behalf of a school, family, business, institution, or other organization, you represent that you have authority to accept these Terms on behalf of that organization.

2. GuardSphere Services

GuardSphere provides digital device governance, managed browsing protection, policy enforcement, app visibility, device monitoring, location-aware protection where enabled, compliance reporting, Google Workspace integration, and workforce intelligence tools.

GuardSphere is intended to be used only for devices, users, accounts, and environments that the customer is legally and organizationally authorized to manage.

3. Customer Responsibilities

Customers are responsible for configuring GuardSphere correctly, maintaining accurate account information, managing administrator access, selecting appropriate policies, and ensuring that their use of GuardSphere complies with applicable laws, contracts, school policies, workplace policies, privacy notices, consent requirements, and internal governance rules.

  • • You must use GuardSphere only for lawful and authorized purposes.
  • • You must not use GuardSphere to monitor devices, users, or accounts without appropriate authority.
  • • You are responsible for notifying managed users, parents, guardians, employees, students, or other affected individuals where required by law or policy.
  • • You are responsible for the actions of administrators and users you invite or authorize within your GuardSphere account.

4. Accounts and Administrator Access

Account owners and administrators are responsible for protecting login credentials, limiting administrative access to authorized individuals, and promptly notifying GuardSphere of suspected unauthorized access. GuardSphere may suspend or restrict access where we reasonably believe an account is compromised, misused, or creating security, legal, operational, or compliance risk.

5. Managed Devices, Agents, and Extensions

GuardSphere device agents, Chrome extensions, ChromeOS components, Android components, Windows components, and related software are provided to enable policy enforcement, device accountability, app visibility, protection status reporting, and administrator-configured governance features.

Customers must not install GuardSphere software on any device unless they have proper authority to manage that device. Managed users must not attempt to bypass, disable, tamper with, reverse engineer, interfere with, or misuse GuardSphere agents, extensions, enrollment controls, or policy enforcement systems.

6. Google Workspace Integration

Where a customer connects Google Workspace, the customer authorizes GuardSphere to access approved Google Workspace data through Google OAuth for the purpose of providing selected GuardSphere features such as Workspace connection status, roster synchronization, device synchronization, app visibility, reporting, and administrative controls.

Customers are responsible for ensuring that the Google Workspace administrator who connects GuardSphere has authority to approve the requested scopes and that the use of Google Workspace data complies with applicable laws, policies, and customer obligations.

7. Subscription, Billing, and Plans

GuardSphere may offer free trials, paid subscriptions, pilot access, add-on modules, activation-code access, or other plan types. Fees, device limits, feature access, billing intervals, cancellation rules, and renewal terms are provided during signup, checkout, contract negotiation, or account activation.

Unless otherwise stated, subscription fees are charged according to the selected plan and billing interval. Customers are responsible for maintaining accurate billing information and paying applicable fees, taxes, and charges.

8. Acceptable Use

You agree not to misuse GuardSphere or assist anyone else in misusing GuardSphere. Prohibited conduct includes:

  • • Accessing, monitoring, or managing users or devices without proper authorization.
  • • Attempting to bypass, disable, damage, or interfere with GuardSphere systems, agents, extensions, APIs, or security controls.
  • • Uploading malicious code, attempting unauthorized access, or disrupting GuardSphere infrastructure.
  • • Using GuardSphere for unlawful surveillance, harassment, discrimination, retaliation, or any purpose prohibited by law.
  • • Misrepresenting your identity, organization, authority, or entitlement to use the service.

9. Privacy and Data Protection

GuardSphere's collection, use, protection, retention, and deletion of information is described in our Privacy Policy. Customers agree to use GuardSphere in a way that is consistent with the Privacy Policy and applicable privacy, student data, employment, workplace monitoring, and data protection laws.

10. Service Availability and Changes

GuardSphere works to provide reliable service, but we do not guarantee that the service will always be uninterrupted, error-free, or available at all times. We may update, improve, modify, suspend, or discontinue features from time to time for operational, security, legal, product, or business reasons.

11. Third-Party Services

GuardSphere may integrate with or rely on third-party services such as Google Workspace, cloud hosting providers, payment processors, communication tools, analytics tools, or other operational service providers. Use of third-party services may be subject to their own terms, privacy policies, security practices, and availability.

12. Intellectual Property

GuardSphere, including its software, dashboards, designs, trademarks, logos, product names, workflows, documentation, reports, and related materials, is owned by GuardSphere Technologies Inc. or its licensors. These Terms do not transfer ownership of GuardSphere intellectual property to customers or users.

13. Disclaimers

GuardSphere is provided on an “as is” and “as available” basis to the maximum extent permitted by law. GuardSphere is designed to support device governance, digital safety, productivity, reporting, and compliance workflows, but customers remain responsible for their own policies, decisions, supervision, legal compliance, and operational outcomes.

14. Limitation of Liability

To the maximum extent permitted by law, GuardSphere Technologies Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to use of the service.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

15. Suspension and Termination

Customers may stop using GuardSphere or cancel applicable subscriptions according to the plan or agreement that applies to their account. GuardSphere may suspend or terminate access if we reasonably believe there is misuse, non-payment, security risk, legal risk, violation of these Terms, or unauthorized use of the service.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal obligations, business practices, or security requirements. When we make material changes, we will update the effective date above and may provide additional notice where appropriate.
